What 'of counsel' actually means
It is a term clients see constantly and almost nobody explains, so here it is. An of counsel attorney has a continuing, close and regular relationship with a firm without being a partner or an ordinary associate.
It is a real designation with real consequences rather than a courtesy title. The California State Bar has addressed its use in ethics opinions, and the central requirement is that the relationship must be genuine — close, personal, continuing and regular. A firm cannot describe a lawyer as of counsel if the connection is occasional or nominal, because doing so would mislead clients about who is actually available to work on their case.
- It is not a referral arrangement. An of counsel attorney works on the firm's matters.
- It is not a partner. They do not have an ownership stake in the firm.
- It carries conflict consequences. For conflict-of-interest purposes the attorney and the firm are generally treated as one, which is part of why the relationship has to be genuine.
- It is common for experienced practitioners who want to continue practicing without the administrative load of partnership, and for specialists a firm uses regularly.
Who will actually be working on your case
This is the question behind the one people usually ask, and it deserves a straight answer rather than a biography.
Ask any firm you speak to — including this one — who will handle your file day to day, who you will speak to when you call, and who will take your deposition preparation and appear at your hearings. Ask whether the attorney whose photograph is on the website will be involved.
The single most common complaint about personal injury representation is not about skill. It is that the client never spoke to an attorney and dealt only with a case manager they could not reach. That is a question of staffing and habit rather than credentials, and you can only find out by asking.
